Terms and Conditions — Taxi Firm Provisions (extract)
Last updated: 7 September 2026 · Applies to the PingCab rider app, the PingCab Pro driver app, the PingCab firm portal (firm.ping-cab.com) and this website.
Extract — for reference only. This document reproduces the parts of the PingCab Terms and Conditions (last updated 7 September 2026) that govern taxi firms: sections 1–2 (context and definitions), Part C (Taxi firms, sections 14–19) and Part D (Everyone, sections 20–28). It is not a separate agreement. Firms accept the full Terms by click-through when registering a firm account at firm.ping-cab.com/register ("By creating a firm account you agree to the PingCab Terms"). The complete Terms and Conditions are supplied alongside this extract and take precedence.
1. Who we are and what PingCab is
PingCab is operated by Ashwrk Ltd, a company registered in England and Wales (company number 17258873) with its registered office at 14–16 Stanley Street, Holyhead, Anglesey LL65 1HG ("we", "us", "PingCab").
PingCab is a technology platform that enables people to request pre-booked taxi journeys from independent taxi businesses using licensed hackney carriages and licensed drivers in North Wales. PingCab does not itself own or operate taxis, employ drivers or provide the transport service. Booking requests made through the app are broadcast to eligible Firms, and a Firm — acting through an authorised Driver — chooses whether to accept them. PingCab does not auto-assign a booking to a Firm or Driver.
Unless applicable law provides otherwise, your contract for the transport service is with the Firm that accepts your booking. That Firm is responsible for the journey and for complying with the licensing laws, byelaws, licence conditions and other requirements that apply to its vehicles and Drivers. Our contract with you covers the PingCab platform, including taking and transmitting your request, facilitating communications and arranging payment through our payment provider, and providing the apps.
2. Definitions
- "Rider" — a person using the PingCab app to book journeys.
- "Firm" — an independent taxi business registered on PingCab whose Drivers and hackney carriage vehicles hold the licences and other permissions required by the relevant local licensing authority. PingCab is currently hackney-carriage-only. A Firm may also hold a private hire operator licence for other parts of its business, but that is not what makes it eligible for hackney carriage bookings on PingCab.
- "Driver" — a driver holding a current licence authorising them to drive the relevant hackney carriage, and who is engaged or otherwise authorised by a Firm to use the PingCab Pro app at the Firm's invitation.
- "Fare" — the fixed price quoted for the journey, calculated by reference to the applicable maximum hackney carriage fares and other lawful charges published by the relevant local licensing authority.
- "Connection fee" (shown in the app as the "booking fee") — our platform fee, paid by the Rider on top of the Fare (section 5).
- "Portal" — the Firm-facing web application at firm.ping-cab.com.
Part C — Taxi firms
14. Registration and eligibility
- Registration is open to taxi businesses that can lawfully fulfil PingCab bookings using hackney carriages. Each vehicle and Driver used for PingCab bookings must hold the current licences and other permissions required by the relevant local licensing authority. PingCab is currently hackney-carriage-only; private hire vehicles are not eligible unless and until the service separately supports them and all applicable private hire operator, vehicle and driver licensing requirements are met. You must provide accurate legal, trading and licensing details at registration and keep them current in the Portal.
- We carry out eligibility checks before activating Firms and may ask for evidence of licensing or insurance at any time. Providing false, misleading or expired licensing information may lead to restriction, suspension or termination under section 22.
- The person registering must be authorised to bind the business. Portal accounts are for your business's authorised managers only.
15. The broadcast model
- Booking requests are broadcast to your eligible Drivers who are online and approved with a fresh live location. A Driver who accepts an offer on your behalf confirms your Firm's acceptance of the booking within the authority you have given that Driver. From that moment the Rider has a booking with your Firm. The journey must be fulfilled in accordance with the hackney carriage licensing framework and the applicable local byelaws, licence conditions and policies; all legal duties applying to the Firm, vehicle proprietor and Driver remain with the relevant person.
- We do not auto-assign bookings to your Firm and we give no guarantee of booking volume.
- The main parameters used to decide which Drivers receive a booking offer are whether the Driver is online and approved with a fresh live location, whether the Driver has an active vehicle assignment of the required vehicle class, whether the Firm has active platform access and the Driver's live proximity to the pickup point. Offers are sent nearest-first based on live distance from the pickup point. Subscription does not affect booking priority. Where more than one eligible Driver receives an offer, the booking is allocated to the first valid acceptance. PingCab does not provide its own competing transport service or give paid or affiliated Firms preferential ranking.
- You are responsible for the transport service, including vehicle condition and testing, appropriate hire-and-reward insurance, Driver conduct, accessibility and equality duties, safeguarding requirements, compliance with the relevant licensing authority's rules and honouring accepted bookings.
- Bookings you create yourself in the Portal (for example, customers who phone your office) are your own bookings, taken under your own terms. No PingCab connection fee applies and payment, including cash where lawful, is a matter between you and your customer. The Rider provisions of these terms apply only to bookings requested through the PingCab rider app. For Firm-originated bookings, PingCab provides the Portal software but does not become a party to your transport contract with the customer.
- PingCab currently makes participating Firms' transport services available to consumers through the PingCab rider app and does not operate a separate affiliate programme for those services. If we introduce an additional consumer distribution channel or affiliate programme that materially affects Firms, we will describe it and notify Firms in accordance with section 25.
16. Fares, payouts and card costs
- Riders pay the Fare plus our connection fee by card in the app when the ride completes. We do not charge a commission on the Fare. Your payout is the gross Fare less only your agreed share of card-processing costs and any refunds, chargebacks or other deductions expressly permitted by these terms.
- Payouts are made through Stripe Connect to your business bank account. You must complete Stripe's onboarding, including any identity and bank verification Stripe requires, before payouts can be made. Stripe may hold funds pending completion of onboarding or other checks required by its terms or applicable law.
- Card-processing costs charged by Stripe for a transaction are shared 50/50 between you and us: your half is deducted from the Fare payout and ours is borne from the connection fee. The applicable processing cost and split are set out in your Portal. If Stripe changes its processing charges, any resulting change to the amount borne by you will be notified in accordance with section 25.
- If a rider's card is declined after a completed ride, we tell you and the rider, retry where possible and pursue settlement — but we are not an insurer of rider payments and do not guarantee payment of fares a rider fails to settle.
- Refunds and chargebacks are allocated to the party to whose service the disputed amount relates. The Fare component is ordinarily borne by the Firm and the connection-fee component by PingCab, except to the extent a loss was caused by the other party's error or breach. The applicable chargeback deduction arrangements are set out in the Portal and, where practicable, we will give you information reasonably needed to respond to a chargeback.
17. Subscriptions
- Platform access is charged per registered Driver per month at £5, plus VAT where applicable. There is one price; there are no tiers. The Portal shows the price payable before you subscribe. Fares paid in the app are transferred to your own Stripe account and you choose your own payout schedule in Stripe — PingCab does not hold your fares and does not control when you are paid. Billing is based on your number of registered Drivers, and changes in registered Driver numbers are prorated through Stripe.
- The first time a Firm subscribes, its subscription starts with a 90-day (three-month) free trial. The free trial is available once per Firm: if a Firm cancels and later subscribes again, the new subscription is charged from the start, with no free trial. When the trial ends, the subscription is charged at £5 per registered Driver per month, plus VAT where applicable. We confirm the date on which paid billing starts and remind you before the first charge. Any different promotion will be shown in the Portal before you accept it.
- Subscriptions are billed to your card via Stripe and can be cancelled at any time from the Portal (Billing → Manage subscription); cancellation takes effect at the end of the billing period. If your subscription lapses your drivers stop receiving new booking offers.
18. Your compliance obligations
- You must hold and keep current every licence, permission, vehicle test and insurance required for the activities you carry on, including the relevant hackney carriage vehicle licences and plates, Driver licences and badges, MOT or local-authority vehicle testing requirements, and hire-and-reward insurance. If you separately carry on private hire activities, you must also hold any private hire operator, vehicle and driver licences required for those activities. The Portal's compliance tools, document storage, expiry warnings and approval workflow assist you but do not transfer your legal responsibilities to PingCab.
- You must approve a Driver on PingCab only after genuinely checking the licences, insurance and other evidence for which you are responsible, and must promptly suspend a Driver or vehicle that ceases to satisfy the applicable licensing requirements.
- You are responsible for any booking-record, complaints-record, driver, vehicle or other record-keeping obligations that apply to your business under legislation, local byelaws, licence conditions or licensing policy. Data in the Portal is made available to assist you, but you must ensure that your own records are complete and retained for the period required by the relevant licensing authority.
19. Your drivers and data
- Your Drivers use PingCab Pro under your invitation; you are responsible for ensuring that they are properly licensed, insured where required, authorised to act for your Firm and engaged by you on a lawful basis.
- Rider personal data you receive through PingCab (including names, pickup and drop-off details and contact routes) may be used only to fulfil the booking, manage safety or complaints and meet your lawful record-keeping duties. You must not use it for marketing unless you have a separate lawful basis and have provided any transparency information required by data-protection law. For the purposes you determine within your own business, you act as an independent controller and must comply with the UK GDPR and Data Protection Act 2018.
- Data access: through the Portal, a Firm can access data relating to its own account, Drivers, vehicles, bookings and payouts, but not another Firm's data. PingCab has access to information submitted to or generated through the platform to the extent needed to operate, secure and improve the service, facilitate payments, administer subscriptions, provide support and comply with law, as explained in the Privacy Policy. Following termination, a Firm may request in writing, within 30 days of termination, an export in a common machine-readable format of data that remains available to it, subject to legal retention requirements and the rights of other individuals.
- Where and to the extent PingCab processes personal data solely on a Firm's documented instructions through Firm-originated Portal bookings or Firm-only compliance tools, the Firm is the controller and PingCab is its processor. The processing lasts for the period in which the relevant Firm uses those features and consists of hosting, organising, displaying, transmitting, backing up and supporting the data needed for the Firm's bookings and compliance records. It may include customer identity, contact, journey and booking data and Driver, staff, vehicle, licensing, insurance and compliance data relating to the Firm's customers, Drivers and authorised staff. For that processing, PingCab will: (a) act only on the Firm's documented instructions, including for restricted international transfers, unless UK law requires otherwise; (b) ensure authorised personnel are bound by confidentiality; (c) implement appropriate technical and organisational security measures; (d) use subprocessors only under general authorisation, impose equivalent data-protection obligations on them, notify the Firm of material proposed changes so that it can raise a reasonable objection, and remain responsible for their performance of those obligations; (e) taking account of the nature of the processing, assist the Firm with data-subject rights requests and, so far as reasonably possible, its obligations concerning security, personal-data breaches, data-protection impact assessments and prior consultation; (f) at the Firm's choice on termination, delete or return the personal data and delete existing copies unless UK law requires retention; (g) provide information reasonably necessary to demonstrate compliance with these processor obligations and permit reasonable audits or inspections subject to appropriate confidentiality and security arrangements; and (h) promptly tell the Firm if, in our opinion, an instruction infringes applicable data-protection law. The Firm remains responsible for the lawfulness of its instructions and for providing any required privacy information to data subjects.
Part D — Everyone
20. Licence to use the apps
We grant you a limited, non-exclusive, non-transferable and revocable licence to use the PingCab apps and Portal for their intended purpose. Firms may permit their authorised managers and Drivers to use the relevant business features in accordance with these terms. You may not copy, modify, scrape, resell, interfere with or reverse engineer the platform, or use it to build a competing service, except to the extent that applicable law expressly permits an act that cannot lawfully be prohibited by contract. All intellectual property in the platform and the PingCab brand belongs to Ashwrk Ltd. If you downloaded an app from Apple's App Store or Google Play, the store's own terms also apply, and Apple/Google are not responsible for the app or these terms.
21. Availability
We work to keep PingCab available around the clock but do not guarantee uninterrupted service — outages, maintenance and events outside our control (including failures of networks, mapping, payment or hosting providers) can interrupt it. PingCab currently operates in North Wales only.
22. Suspension and termination
- We may restrict, suspend or terminate an account where there is a breach of these terms, a material safety or security risk, suspected fraud or payment abuse, false or invalid licensing information, or where action is required by law or a licensing authority. We will give the affected user the reasons for our decision unless doing so would be unlawful or would materially prejudice a safety, security or fraud investigation. Where reasonable, we will give a warning and an opportunity to remedy the issue; serious or urgent matters may require immediate action.
- Additional rules for Firms: if we restrict or suspend the service for a Firm, we will provide a statement of reasons on a durable medium before or at the time the restriction or suspension takes effect, unless applicable law permits otherwise. If we terminate the whole platform relationship with a Firm, we will normally provide at least 30 days' prior notice and a statement of reasons. That period may be shortened or omitted where we are subject to a legal or regulatory obligation, there is an imperative safety, security or fraud reason, or repeated breach permits earlier termination under applicable law. A Firm may contact support@ping-cab.com free of charge to ask us to review or clarify a restriction, suspension or termination decision.
- You can stop using PingCab and delete your account at any time. Firms can cancel their subscription at any time as described in section 17, without an early-termination penalty; cancellation takes effect at the end of the current billing period unless we agree otherwise. Sections that by their nature survive termination, including amounts owed, liability, data-protection obligations and governing law, continue to apply.
23. Our liability
- Nothing in these terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud, or for anything else that cannot lawfully be excluded. If you are a consumer, nothing in these terms affects your statutory rights.
- We provide the PingCab platform with reasonable skill and care. The transport service is provided by the Firm, not by PingCab, and the Firm is responsible for its Drivers and vehicles. We are not responsible for a Firm's or Driver's acts or omissions merely because the booking was made through PingCab. This does not exclude liability to the extent that a loss is caused by our own breach, negligence or other duty for which the law makes us responsible.
- If you are a consumer, we are responsible for loss or damage that is a foreseeable result of our breach of these terms or our failure to use reasonable skill and care, but not for business losses. If you are using PingCab for business purposes, we are not liable for loss of profit, revenue, business, anticipated savings or goodwill, or for indirect or consequential loss, except where such a limitation is not permitted by law.
- We do not impose a monetary cap on a consumer's rights where limiting liability would be unlawful or unfair. For Firms and other business users, subject to the exclusions in the first bullet of this section, our total aggregate liability arising in any 12-month period is limited to the greater of £500 and the subscription fees paid or payable by that Firm to us in the 12 months preceding the event giving rise to the claim, to the extent such a limitation is reasonable and enforceable under applicable law.
24. Indemnity (businesses only)
A Firm will indemnify us against third-party claims, losses and reasonable costs to the extent directly arising from that Firm's operation without the licences or insurance required by law, its material breach of applicable licensing law, or its unlawful misuse of Rider personal data, except to the extent caused or contributed to by our own breach or negligence. We will take reasonable steps to mitigate any recoverable loss.
25. Changes to these terms
We may update these terms where reasonably necessary to reflect changes in law or regulation, safety or security requirements, our technology or service, or the way the business operates. Changes do not apply retrospectively to accepted bookings. For Riders and Drivers, we will notify you of material changes before they take effect where appropriate. For Firms, we will give notice on a durable medium at least 15 days before a change takes effect, and a longer period where the change reasonably requires significant technical or commercial adaptations. Changes affecting Firms will not apply retrospectively unless required by law or beneficial to the Firm. A Firm may terminate before the change takes effect. A shorter notice period or waiver will apply only where permitted by applicable law. Continued use after the effective date constitutes acceptance of the updated terms.
26. General
These terms are the entire agreement between us regarding the platform, but nothing in this clause excludes any statement, information or statutory right that the law treats as binding, particularly where you are a consumer. If any provision is found invalid or unenforceable, the remainder stays in force. A failure to enforce a right is not a waiver. You may not transfer your rights under these terms without our consent; we may transfer ours to a successor of the business provided this does not reduce any rights you have under applicable law. Except for Apple and Google as noted in section 20, no third party has rights under the Contracts (Rights of Third Parties) Act 1999.
27. Governing law
These terms are governed by the law of England and Wales. Disputes may be brought in the courts of England and Wales; if you are a consumer you may also rely on any mandatory consumer protections and courts of the UK nation where you live.
